How A Business Valuation Is Calculated

There is no single formula for determining the value of a business. An independent business valuation considers the financial performance, risk profile, assets, market position and future prospects of the business, together with relevant market and transaction evidence.

The appropriate valuation methodology used by a business valuer depends on the nature of the business, the purpose of the valuation and the information available. In many engagements, more than one methodology may be considered to support or cross-check the valuation conclusion.

Capitalisation of Future Maintainable Earnings

For profitable, established SMEs, the capitalisation of future maintainable earnings is one of the most commonly applied business valuation methodologies.

Historical and current financial performance is analysed to determine an appropriate level of maintainable earnings, with adjustments made for owner-specific, non-recurring or non-commercial items where appropriate.

A capitalisation multiple is then selected having regard to factors including earnings quality, customer concentration, management capability, systems and processes, intellectual property, growth prospects, business risk and relevant market transaction evidence.

Net Asset Backing

The net asset approach considers the market value of a business’s underlying assets less its liabilities.

It can be particularly relevant for asset-intensive businesses or circumstances where maintainable earnings do not adequately reflect the value of the underlying assets. For profitable businesses with significant goodwill or intangible value, an asset-based methodology may be less representative of overall enterprise value.

Discounted Cash Flow

A Discounted Cash Flow (DCF) valuation estimates value by forecasting the future cash flows expected to be generated by a business and discounting those cash flows to present value using a rate reflecting their associated risk.

DCF can be particularly relevant where future performance is expected to differ materially from historical results or where sufficiently reliable long-term forecasts are available.

Market Comparables And Transaction Evidenc

Market evidence from comparable business transactions and, where appropriate, publicly traded companies can provide valuable benchmarks when assessing valuation multiples and market value.

BSP Strategic’s business valuation services are supported by access to leading global transaction and market databases, allowing relevant market evidence to be considered alongside the specific characteristics, scale and risk profile of the business being valued.

ATO Market Valuations And Tax Compliance

BSP Strategic also prepares independent business valuations for taxation purposes, including capital gains tax (CGT) events, Division 152, business restructures and related-party transactions.

ATO market valuations require careful consideration of the valuation purpose, valuation date, available market evidence and applicable professional standards. BSP Strategic’s valuation reports are prepared by a CA ANZ Business Valuation Specialist in accordance with recognised professional and valuation standards.

Why Business Owners Seek Independent Business Valuations

Not all valuation engagements have the same objective.

Some business owners want to understand what their business procedures may be worth in the market and identify opportunities to improve value before a future sale. Others require an independent valuation prepared to support taxation, legal, financial reporting or regulatory requirements.

At BSP Strategic, we provide both strategic value assessments and independent business valuations, ensuring the valuation approach aligns with the purpose of the engagement.

BSP has performed countless Small Business Valuation Services across Brisbane, Central Queensland, and Northern NSW. We are regularly engaged by business owners, accountants, lawyers and boards across our beautiful country – from regional towns to capital cities – geography is no limitation.

Business Sale & Exit Planning

Many business owners engage a valuation specialist well before commencing a sale process. Understanding current market value can help set realistic expectations, identify value drivers, assess sale readiness, and prioritise initiatives that may improve value before exit.

At BSP, we talk to many business owners looking for business valuations for sale purposes. The most common question they ask is: What is my business worth?

The next question is – how can I improve my business valuation before selling? BSP provide clarity and answers to both.

If you’re planning to sell sometime over the next few years, talk to us about the clarity that a Business Exit Assessment can provide.

Capital Gains Tax & Division 152 Small Business CGT Concessions

Business valuations are frequently required to support Capital Gains Tax calculations, Division 152 eligibility assessments and other taxation matters involving the transfer or disposal of business interests.

As the 2026 Federal Budget changes take effect, many business owners may benefit from an independent valuation to establish market value for future tax planning.

Please reach out to BSP if you need an ATO market valuation to check eligibility for the Division 152 small business CGT concessions, or to determine the market value of a business interest for a wide range of CGT events.

Shareholder Changes, Succession & Ownership Transfers

Valuations are commonly used when shareholders enter or exit a business, family members acquire interests, or succession plans are implemented. An independent valuation can help all parties determine a fair, supportable value on an arm’s-length basis or in accordance with the Shareholders Agreement.

Depending on the level of ownership, or the nature of the interest being acquired or sold, a shareholder valuation may consider minority interest discounts, control premiums, or discounts for lack of marketability.

SMSF & Related Party Transactions

Self-managed superannuation funds and related party transactions often require assets to be transferred or reported at market value. Independent valuations can provide evidence to support compliance with regulatory requirements.

At BSP, we regularly prepare formal independent business valuations as required by regulatory bodies (OSR) to support the proposed market value of assets to be transferred between related parties.

Litigation & Commercial Disputes

Business valuations are regularly required in family law proceedings, shareholder disputes, partnership disputes and commercial litigation. In these situations, independence, methodology and evidentiary support become particularly important pieces of business information.

While BSP does not prepare business valuations for family law proceedings (which require a specialised format), we regularly prepare formal, independent business valuation reports for corporate and/or partnership dispute resolution and mediation matters.

Our reports provide complete transparency and utilise highly credible data sources, making them easily repeatable and understandable – key aspects of dispute resolution.

Strategic Planning & Growth Initiatives

Not all valuations are undertaken because of a transaction or compliance requirement. Many business owners seek an independent assessment of value to better understand business performance, evaluate growth opportunities, assess acquisitions or benchmark progress over time.

BSP engage regularly with a wide variety of advisory boards, accountants and/or directly with business owners to provide annual strategic business valuations which provide critical feedback to stakeholders and to facilitate a wide variety of strategic decision-making such as (performance evaluation, tax planning, risk mitigation, scenario analysis, etc.).

Frequently Asked Questions

The type of valuation required depends on the purpose of the valuation and the intended use of the report. Typically, valuation reports for third parties (such as the ATO, OSR, or shareholders) require formal independent valuation reports, whereas strategic valuation reports may be sufficient when business owners or advisory boards need clarity for a wide range of strategic planning considerations.

According to the ATO Market Valuation Guidelines for tax purposes, a valuation’s acceptability usually depends on the valuation process undertaken rather than who conducted it.

Valuations undertaken by professional valuers are more credible than those provided by someone who isn’t a professional valuer.

A valuation report carried out by a suitably qualified professional following commonly accepted industry standards and professional codes of conduct generally contains sufficient evidence and reasoning to allow for testing or replication and is considered more reliable by the ATO or OSR.

As independence is considered a key aspect of being objective, it is good practice to engage an arm’s length professional valuer as opposed to engaging your accountant (who is arguably not independent) to prepare your valuation report – particularly in situations involving complex business valuations or where the assessed value confirms eligibility to concessional tax treatment.

The cost of a business valuation can vary depending on the size and complexity of your business. Most professional valuations range from $2,000 to $10,000. We’ll give you a clear quote upfront before commencing any work.

There are many ways to determine the value of the enterprise or equity. Therefore, the process we follow to determine the value of the business or equity, is ultimately dependent on the purpose and intended use of the report. We tailor our approach and valuation methodologies to meet your requirements. Please check out our valuation resources section for further guidance on methodologies, processes and key value drivers.

Most business valuation reports take between 2 and 4 weeks to complete. However, this timeframe can vary depending on how quickly you provide documents.

A business valuation is a detailed, formal process that is used for legal, financial, or tax purposes. An appraisal is often less formal and usually used to estimate a general value for internal or strategic planning.

The recent budget changes (though not officially law yet) suggest businesses will need to apportion future capital gains between pre- and post-1st July 2027 periods, implying a need for a formal, independent business valuation (ATO-compliant market valuation).
